Terms & Conditions
— The Details
Last Updated: February 4, 2026 (v2)
1. Introduction
These Terms and Conditions (the “Terms”) govern (a) your access to and use of Booksi.ai’s Website and related online properties (the “Website”), and (b) the accounting, bookkeeping, payroll support, advisory, and related professional services (the “Services”) provided by BOOKSI INC. (“Booksi”, “Company”, “we”, “us”, or “our”). By using the Website, requesting a quote, booking a meeting, signing an engagement letter, or otherwise engaging the Company, you agree to these Terms.
If you are entering into these Terms on behalf of a business or other organization, you represent that you have authority to bind that organization, and “you” and “your” refer to that organization.
These Terms operate alongside, and are incorporated into, any engagement letter, proposal, statement of work, subscription plan confirmation, or other document that describes the scope of Services and pricing (each an “Engagement Letter”). If there is a conflict between these Terms and an Engagement Letter, the Engagement Letter prevails for that engagement.
2. Interpretation and Definitions

If a capitalized term is not defined in these Terms, it has the meaning given in an applicable Engagement Letter or the Privacy Policy, as appropriate.

Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority. Service the work requested by and/or provided to You in the normal course of Our business operations, for example the accounting, bookkeeping, payroll support, onboarding, back-work, advisory, and other related professional services.
Service Provider means any individual, company, entity, or other natural or legal person, including third-party companies or individuals contracted or engaged by the Company, that provides services to the Company, supports the Company’s operations or the Service, facilitates the Service, performs services related to the Service, assists the Company in analyzing how the Service is used, or otherwise supports the Company’s business activities, and that may process Your Personal Information in connection with providing those services. Service Providers operate under their own published terms and privacy policies. The Company does not control the data-handling practices of standardized third-party services, including their operations, internal systems, technologies, and infrastructure.
Third-party Social Media Service refers to any website or any social network website through which a user can log in or create an Account to use the Service.

Unless otherwise stated in your Engagement Letter, transactions include bank/credit-card feed lines, sales platform transactions, bill/invoice lines where separate accounting entries are required, journal entries, and other accounting postings reasonably required to maintain your books.
3. Agreement Structure; Relationship of the Parties
We provide Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, fiduciary, agency, or employment relationship.
We will use reasonable commercial efforts and appropriate skill and care to perform the Services described in your Engagement Letter. You are responsible for deciding whether the Services meet your needs and for obtaining independent legal, tax, and financial advice where appropriate.
4. Eligibility; Accounts; Authority
You must provide accurate, current, and complete information when requesting a quote, booking a meeting, onboarding, or otherwise engaging the Company, and you must promptly update information if it changes.
If we provide access to a portal, shared drive, or other account-based features, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
5. Service Description; Professional Limitations
Booksi provides AI‑assisted bookkeeping and related Services, typically delivered through platforms such as QuickBooks Online and Xero. Our Services may include automation technologies (including robotic process automation and artificial intelligence) and human review.
Unless expressly stated in an Engagement Letter, we do not provide legal services, and we do not provide assurance engagements. We do not perform audit or review engagements under Canadian Auditing Standards (CAS). We do not perform compilation engagements under CSRS 4200, and we do not express any form of assurance or opinion on financial statements.
Any tax filing, remittance, registration, payroll submission, or similar actions with governmental agencies are performed only if expressly included in the Engagement Letter. If a task is not listed as included, it is excluded unless we agree otherwise in writing.
6. Bookkeeping Services (Price Drivers and Service Levels)
Bookkeeping Services are scoped and priced using one or more “Price Drivers.” Your Engagement Letter will confirm the agreed Price Drivers and service level. For transparency, the primary Price Drivers are:
- Transaction Volume: the number of Transactions processed over a period.
- Accounting Basis: cash basis or accrual basis (including accounts receivable and accounts payable reconciliations and accrual entries, as applicable).
- Reporting Frequency: monthly, quarterly, or annual close cadence and reporting.
- Complexity: operational complexity factors that increase or decrease the work required.
Complexity may be assessed using factors such as (i) number of accounts to reconcile, (ii) sales tax jurisdictions and filing frequency, (iii) revenue streams, (iv) inventory, (v) related-party arrangements, (vi) investment and financing activity, and (vii) payroll activity, among others.
Accounts with more than 10,000 annualized Transactions may require custom scoping and pricing.
Your custom price may be confirmed or adjusted after our review of information you provide, such as prior-year financial statements, trial balance, and general ledger.
If you select cash basis bookkeeping, year-end accrual adjustments are generally your CPA’s responsibility unless your Engagement Letter includes Audit Guard (or another service) that expressly includes certain accrual support.
Sample Complexity Assessment (illustrative):
Basic | Moderate | Advanced | |
Reconcile Statements | Up to 3 | Up to 5 | 6 or more |
Sales Tax Filing | Up to Quarterly, Single Jurisdiction | Monthly, Single Jurisdiction | Multiple Jurisdictions |
Revenue Streams | Single Stream | Multiple Streams | Financing / Leasing Income |
Inventory | None | Up to Quarterly / Manual | Monthly / Perpetual |
Related Party Arrangements | None | Up to 2 | 3 or more |
Investment Activities | None | Single Account | Multiple Accounts |
Financing Activities | None | Leases / Loans | Capital Transactions |
Payroll Activities | None | Cloud-Based Software | Other / 3rd Party Provider |
The table above is illustrative only. We may use different or additional factors based on your circumstances. We may classify your account as Basic, Moderate, Advanced, or another tier as described in your Engagement Letter.
7. Onboarding and Back‑Work
Onboarding may be required for newly incorporated companies, when implementing or changing software, or when we determine system setup or adjustment is necessary to begin routine bookkeeping. Onboarding is typically billed as a one-time fee based on your desired number of Services x your monthly bookkeeping fee (after discounts), as confirmed in your Engagement Letter.
Illustrative Onboarding Service Options (sample):

* Items marked with an asterisk may be operationally necessary to begin routine Bookkeeping Services.
Back‑Work services (catch‑up) are available if you are behind. Back‑Work is typically priced as (months of backlog) × (your monthly bookkeeping fee, after discounts), subject to any caps or special arrangements in your Engagement Letter.
Timing for Onboarding and Back‑Work depends on receipt of complete documentation and access. We may pause or re-sequence work if required information is missing.
8. Payroll Support
Unless expressly stated otherwise in your Engagement Letter, payroll support includes preparing payroll reconciliations, recording payroll journal entries, drafting pay runs, and reviewing draft pay runs against timesheets and personnel changes. You remain responsible for final approval, submission, and payment (“Pay Now”) in your payroll platform, and for remittances to employees and tax authorities.
You must provide accurate timesheets and changes (hires, terminations, pay changes, benefits) at least four (4) Business Days before the pay date, unless otherwise agreed. Delays may result in missed pay dates or remittance deadlines, for which you remain responsible.
9. Audit Guard, Remote CFO, and Advisory Services
If you add Audit Guard, Remote CFO, or other advisory services, the scope will be described in your Engagement Letter. These services are consultative and are not a guarantee of any specific outcome.
Where we assist with notice-to-readers, audits, or reviews, you must promptly provide notices, correspondence, and relevant records. Extensive audit support beyond what is included may require a separate statement of work and additional Fees.
10. Client Obligations and Cooperation
You agree to:
- Provide timely, accurate, and complete information, records, and access needed to perform the Services, including platform credentials and supporting documents.
- Review deliverables and respond to questions within reasonable timelines, including period-end close questions.
- Maintain your own copies of records and source documents. You remain responsible for statutory record retention requirements.
- Use deliverables appropriately and obtain independent advice where needed before making decisions.
- Notify us promptly if information you previously provided becomes inaccurate or incomplete.
We may rely on the accuracy of information you provide without independently verifying it, unless we expressly agree otherwise in writing.
11. Meetings and Scheduling
Meetings are scheduled by mutual agreement, including through online scheduling tools. Unless we agree otherwise in writing, you are responsible for attending scheduled meetings or providing reasonable notice if you need to reschedule.
If you repeatedly miss meetings or fail to respond to key questions, we may pause work, adjust timelines, and/or re-scope the engagement.
12. Use of AI and Automation
You consent to our use of automation and artificial intelligence tools to assist in delivering the Services, including for transaction classification, summarization, workflow routing, and anomaly detection.
AI-assisted tools may produce errors or unexpected outputs. Human review is applied, but you remain responsible for reviewing and approving your general ledger, financial statements, including filings, payments, and management decisions.
Where reasonably practicable, we apply data minimization and redaction practices before submitting information to AI Service Providers, as further described in our Privacy Policy.
13. Third‑Party Platforms and Service Providers
We may use third-party platforms and Service Providers (e.g., accounting software, scheduling tools, payment processors, communications platforms, and AI tools) to deliver Services. Third-party services are subject to their own terms and privacy policies. We do not control, and are not responsible for, their performance, availability, or data-handling practices.
If you enable third-party applications or integrations, you acknowledge that providers of those applications may access your data as required to operate the integration. We are not responsible for any disclosure, modification, or deletion of your data resulting from that access.
14. Confidentiality
Each party may receive confidential or proprietary information of the other. Each party agrees to keep such information confidential and to use it only to perform its obligations or exercise its rights under the Agreement.
Confidentiality does not apply to information that (i) is or becomes public through no fault of the receiving party, (ii) was lawfully known to the receiving party without restriction, (iii) is independently developed without use of the other party’s confidential information, or (iv) is lawfully received from a third party without breach of obligation.
A party may disclose confidential information if required by law, court order, or a lawful request from a regulator, or as reasonably necessary to protect its legitimate interests.
15. Privacy and Data Protection
We collect, use, disclose, retain, and safeguard Personal Information in accordance with our Privacy Policy (incorporated by reference) and applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
You represent that you have the right and authority, and have obtained all necessary consents, to provide to us any Personal Information of employees, customers, contractors, or other individuals that you provide in connection with the Services.
Certain data may be processed or stored outside Ontario or Canada through Service Providers. More detail is provided in our Privacy Policy.
16. Intellectual Property; Client Data; Backups; Record Retention
Client Data: As between you and the Company, you own your Client Data. You grant the Company a non-exclusive licence to use, copy, transmit, store, and process Client Data to provide the Services and to operate our business.
Company materials: We own our methods, templates, checklists, systems, software configurations, workpapers, and other materials we create or use to deliver the Services (excluding your Client Data). Subject to payment of Fees, we grant you a non-exclusive, non-transferable licence to use the Deliverables for your internal business purposes.
Backups and data loss: You must maintain your own copies of all Client Data and source records. We use reasonable practices to prevent data loss, including backups of systems we control, but we do not guarantee that there will be no loss of data. To the maximum extent permitted by law, we are not liable for loss of Client Data except to the extent caused by our gross negligence or wilful misconduct.
Record retention: We may retain copies of Client Data, correspondence, and working papers for the period we determine is necessary for legal compliance, internal administration, and risk management. We may delete or destroy records after that period, subject to applicable law and our Privacy Policy.
17. Quotes, Fees, Billing, and Payment Terms
Quotes and Proposals: Unless otherwise stated, quotes and Proposals are valid for 30 days. Quotes are based on the information you provide and may be revised if the scope or Price Drivers change, or if information provided is inaccurate or incomplete.
Fees are set out in your Engagement Letter. Unless otherwise stated, Fees are in Canadian dollars and exclude applicable taxes (including HST), which will be added where required.
Payment method: We may require PAD or another automated payment method through a secure third-party processor. Invoices are typically issued electronically. Invoices are usually emailed the same day a PAD is processed.
Unless your Engagement Letter states otherwise, standard payment timing is:
- Monthly services: billed and payable in advance on the first (1st) day of the month (or next Business Day).
- Quarterly services: billed and payable in advance on the first (1st) day of each quarter.
- Annual services: payable in one (1) upfront payment or up to four (4) quarterly instalments, as specified in the Engagement Letter.
- Onboarding: one-time setup fee due at enrolment (or as otherwise scheduled in writing).
- Back‑Work: 50% due at enrolment and 50% due at the earlier of (i) completion or (ii) net ninety (90) days from enrolment, unless otherwise stated.
Expenses: If we incur out-of-pocket expenses at your request that are not included in the Fees, you agree to reimburse us provided we pre-approve them with you.
If payment is not received when due, we may suspend Services after providing notice. We may charge interest on overdue amounts at the rate stated in the Engagement Letter or invoice, or if not stated, at 2% per month (24% per year) calculated and compounded monthly, or the maximum lawful rate, whichever is lower.
Regulatory and third‑party requests: If we are required by subpoena, order, directive, or other legal or regulatory process to produce documents or information, answer enquiries, attend meetings or court, or otherwise respond in relation to the Services, you agree to reimburse us for our reasonable professional time and expenses (including reasonable legal fees) incurred in dealing with those matters, unless the request is caused by our breach of these Terms.
18. Discounts, Savings, and Promotional Offers
We may offer promotional discounts or savings from time to time. Promotions are subject to eligibility criteria, caps, and expiry dates, and must be confirmed in writing (including in your Engagement Letter) to apply.
Unless otherwise stated, savings are applied to your custom price in your Proposal offers after our meeting and review of your supporting information.
Savings may stack by action (e.g., get a quote, book a meeting, upload supporting documents) and may be limited to core services (bookkeeping, Onboarding, Back‑Work). Unless otherwise stated in writing, total discounts are capped at 30%.
Illustrative earned discounts and savings (when offered):
- Get a Quote — up to 10% when you complete required steps and submit the online quote.
- Book a Meeting — up to 10% when you book and attend the meeting.
- Upload Supporting Documents — up to 10% when you upload requested prior‑year Financial Statements, Trial Balance, and General Ledger before the meeting.
Promotion caps and early close: We may cap enrolments or close a promotion early (for example, after 20 new clients) even if a countdown timer has not expired. Earned action‑based discounts may be honoured for a limited period after a promotion ends (for example, up to 6 months) subject to reasonable conditions we communicate in writing.
Price Match Guarantee (if offered): We may match or beat a competitor’s written quote if (i) you provide the competitor quote before accepting our Proposal, (ii) the competitor quote is for materially comparable scope and service levels, and (iii) we can reasonably verify the quote and the competitor is a legitimate provider. We may refuse price matching for incomplete, promotional, or loss‑leader quotes.
Term‑based discounts: If a discount is offered on the condition that you maintain Services for a minimum term (e.g., two years), and you terminate early, you agree to repay the unearned portion of the discount. Unless the Engagement Letter states a different method, the unearned portion is the difference between (a) the Fees you would have paid without the term discount and (b) the discounted Fees you actually paid, for the Services delivered through the effective termination date, plus any one‑time discounts or credits that were expressly conditioned on the fixed term and have not yet been earned. If the Engagement Letter includes an amortization schedule or a specific discount‑repayment formula, that schedule or formula governs. Any discount repayment amount is due immediately upon early termination and may be charged using the payment method on file. This discount adjustment is intended as a true discount adjustment, not a penalty.
We may refuse or revoke a discount where we reasonably determine that it was obtained through misrepresentation, abuse, or gaming of the promotion rules.
19. Changes in Scope; Price Adjustments
Your Fees are based on the agreed scope and Price Drivers. If your transaction volume, accounting basis, reporting frequency, complexity, submission cadence, or other material factors change, we may propose a revised scope and Fees.
We will provide reasonable notice of price changes for ongoing services (typically at least 30 days), unless the change is required to address a compliance issue, a third-party pricing change, or an urgent operational risk.
If you consistently submit records on a different cadence than your plan (e.g., quarterly submissions on a monthly plan), we may reclassify your plan and billing to align with actual service delivery, with notice.
20. Quality; ‘Make It Right’ and Satisfaction Guarantee
Make It Right: If you notify us in writing within ten (10) Business Days of receiving confirmation of completion for your most recent bookkeeping period-end that you believe our bookkeeping work contains errors within scope, we will re-review and correct the work at no extra charge within a reasonable time (typically within five (5) Business Days), provided you have supplied the necessary information.
Satisfaction Guarantee (bookkeeping only): After you have completed three (3) consecutive months of bookkeeping Services, you may request a refund of up to one (1) month of bookkeeping Fees if you are not satisfied, provided that (i) you have acted in good faith, (ii) you have provided timely information and responses, (iii) you have given us a fair opportunity to remedy issues, and (iv) the request is made in writing within ten (10) Business Days of the relevant period-end completion notice. The guarantee does not apply to one-time services (Onboarding, Back‑Work), to third-party subscriptions or fees, to work outside scope, or to issues caused by incomplete or inaccurate information supplied by you. We may deny requests we reasonably determine are abusive or inconsistent with these criteria.
21. Suspension of Services
We may suspend Services (in whole or in part) if: (i) Fees are overdue, (ii) you fail to provide required information or access, (iii) we reasonably believe continued work would be unlawful or unethical, or (iv) there is a security risk. Suspension does not relieve your obligation to pay Fees for Services performed up to the suspension date.
22. Term; Renewal; Termination; Refunds
Unless your Engagement Letter states a fixed term, Services are provided on an open, month-to-month basis and may be terminated by either party with written notice.
Notice periods and effective termination dates are set out in your Engagement Letter. If not specified, termination is effective at the end of the current billing period provided notice is received at least two (2) Business Days before the next billing date.
We may terminate immediately by written notice if: (i) you materially breach these Terms and fail to cure within 14 days after notice (where cure is possible), (ii) you become insolvent, (iii) you engage in unlawful conduct relating to the Services, or (iv) a change in law, regulation, or professional standard would make continued performance unlawful or materially prejudicial.
On termination, you remain responsible for Fees and charges incurred up to the effective termination date, including any discount repayment amounts under Section 18.
Except as expressly provided in these Terms (including Section 20) or an Engagement Letter, Fees paid are non-refundable.
23. Benefit of Advice; No Third‑Party Reliance; Financial Statements
Advice, recommendations, and Deliverables are provided solely for your benefit in connection with the agreed Services and may not be relied on by any third party without our prior written consent.
If you provide Deliverables to a third party (e.g., lender, investor, buyer), you must inform them in writing that the Deliverables were prepared for your internal purposes based on limited scope and are not intended to be relied upon by others. You agree to indemnify us for third-party claims arising from unauthorized reliance.
Drafts, interim outputs, oral statements, and preliminary analyses are not final and must not be relied upon. Final written deliverables prevail. We have no obligation to update any advice or deliverable for events occurring after it is issued, unless we expressly agree otherwise in writing.
Internal financial statements: Unless we expressly agree otherwise in writing, reports and financial statements we prepare are for management’s or directors’ internal use and should not be used for external reliance or distribution.
Externally shared statements (non-assurance): Upon written request at least thirty (30) days in advance, we may prepare externally shared financial statements or reports that are not prepared in accordance with CSRS 4200 or CAS and provide no assurance. The cost for such work may be up to one (1) month of your latest bookkeeping Fees (or as otherwise quoted).
24. Electronic Communications and Signatures
Electronic delivery and contracting: The parties consent to conduct this relationship by electronic means, including receiving notices, invoices, and documents electronically. Where permitted by law, electronic records satisfy any requirement to provide information in writing. This section is intended to operate in accordance with the Electronic Commerce Act, 2000 (Ontario) and other applicable law. If you require paper copies, contact us and we will consider reasonable requests.
Electronic signatures and counterparts: You agree that electronic signatures, electronic acceptance (including click‑through acceptance), and counterparts may be used to enter into Engagement Letters and other agreements and are intended to have the same legal effect as handwritten signatures, including for purposes of the Electronic Commerce Act, 2000 (Ontario). A counterpart may be delivered electronically and each counterpart will be deemed an original, and all counterparts together form one agreement.
Email and electronic transmission are not completely secure. If you request electronic transmission of documents, you accept the risks of interception, delay, misdelivery, or viruses, and release the Company from claims arising solely from those risks, except to the extent caused by our gross negligence or wilful misconduct.
25. Indemnities
You agree to indemnify and hold harmless the Company and its directors, officers, employees, and contractors from third‑party claims, losses, damages, liabilities, and reasonable costs (including legal fees) arising from: (i) your breach of these Terms, (ii) your misuse of the Services or Deliverables, (iii) your failure to obtain required consents, or (iv) unauthorized third‑party reliance.
26. Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or relating to the Services.
To the maximum extent permitted by law, the Company’s total aggregate liability for all claims arising out of or relating to the Agreement is limited to the Fees actually paid by you to the Company for the affected Services in the three (3) months immediately preceding the event giving rise to the claim, or the amount stated in your Engagement Letter if different.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for gross negligence or wilful misconduct, or statutory consumer rights where applicable).
27. Problem Resolution; Dispute Resolution
If you have concerns or complaints, please notify us promptly at hello@booksi.ai so we can investigate and resolve the issue.
If a dispute cannot be resolved informally, the parties agree to attempt good‑faith mediation in Ontario before commencing litigation, except where injunctive relief is required.
28. Force Majeure
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, severe weather, labour disputes, outages, cyber incidents, governmental actions, or failures of third-party infrastructure. The affected party will use reasonable efforts to mitigate and resume performance.
29. Website Terms of Use
You may use the Website for lawful purposes only. You must not:
- Attempt to undermine the security or integrity of the Website or any systems used to deliver Services.
- Attempt to gain unauthorized access to any materials or systems.
- Transmit malware or harmful code, or content that is unlawful, infringing, defamatory, or offensive.
- Copy, modify, reverse engineer, decompile, or attempt to extract source code from the Website except as permitted by law.
- Use the Website in a manner that interferes with other users or imposes an unreasonable load on our infrastructure.
We may suspend or restrict access to the Website for maintenance, security, or operational reasons.
The Website may include links to third-party sites. We are not responsible for third-party content, products, or services.
30. General
Assignment: You may not assign these Terms or an Engagement Letter without our prior written consent. We may assign our rights and obligations to an Affiliate or successor in connection with a business reorganization or sale.
Subcontractors: We may use employees, contractors, and Service Providers to deliver Services. We remain responsible for the Services they perform for us, subject to these Terms.
Entire agreement: These Terms, the Privacy Policy, and the applicable Engagement Letter are the entire agreement between the parties regarding the Services and supersede prior discussions and understandings.
Severability: If any provision is held unlawful or unenforceable, it will be severed to the extent necessary and the remaining provisions will remain in effect.
Waiver: A waiver is effective only if in writing and applies only to the specific instance.
Changes to these Terms: We may update these Terms from time to time by posting an updated version on the Website. Changes are effective when posted, unless otherwise stated. For ongoing engagements, material changes will not apply retroactively to work already performed, and engagement-specific changes should be captured in an updated Engagement Letter.
31. Governing Law and Jurisdiction
These Terms and all disputes or claims arising out of or relating to them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules. The parties irrevocably attorn to the exclusive jurisdiction of the courts located in Ontario.
